Mittal Steel announces new steps in the offer

Mittal Steel has announced, on 16 February, that the Belgian Commission Bancaire, Financière et des Assurances has published its notice relating to Mittal Steel’s proposed offer for Arcelor. The Luxembourg Commission de Surveillance du Secteur Financier has also published a press release summarizing the key terms of the proposed offer in the form of the appendix hereto. Mittal Steel has also officially filed its proposed offer with the Spanish Comision Nacional del Mercado de Valores. Now that the main terms of the proposed offer have been officially made public, the next step is that the supervisory authorities will review the draft offer documentation. This process is expected to take several weeks. Once the offer documentation has been approved by the authorities, the offer can be effectively launched. In connection with its proposed acquisition of Arcelor SA, Mittal Steel will file important documents with the US Securities and Exchange Commission, including a registration statement on Form F-4, a prospectus for the exchange offer and related documents.
