Mittal outlines offer for Arcelor in US filing

Mittal Steel has announced that it has outlined its offer for Arcelor in a US Securities and Exchange filing. The registration statement on 23 March 2006 relating to its EUR 19.9 billion offer for the shares and bonds of the Arcelor includes the exchange of 4 Mittal Steel class A common shares and EUR 35.25 in cash for every five Arcelor shares or Arcelor American Depositary shares and four Mittal Steel class A common shares and EUR 40 in cash for every five Arcelor convertible bonds. In conjunction with that offer Mittal Steel is registering 90.3 million of its class A common shares for sale, the company said in its SEC filing.
