Dofasco and Arcelor agree take-over

Dofasco and Arcelor announced on 24 January that they have signed an agreement for Arcelor to make a revised all-cash offer to acquire all of Dofasco’s outstanding common shares in a supported, all-cash transaction for total consideration of approximately CAD 5.6 billion, or CAD 71.00 per common share. Dofasco’s Board of Directors has resolved to unanimously recommend to Dofasco shareholders that they accept Arcelor’s offer. This move follows the announcement on 23 January 2006 by ThyssenKrupp AG of its decision to waive its "right to match" the CAD 71.00 per share proposed all-cash offer to acquire all of the common shares of Dofasco Inc. announced by Arcelor SA on 16 January 2006 and the announcement by Dofasco on 23 January 2006 of the termination of the support agreement between Dofasco and ThyssenKrupp.
